📄 Vendor Registration Terms and Conditions

🔹 1. Registration and Selection Process

1.1 Accurate Information Submission
Vendors are required to provide complete and accurate business information during registration. This includes:

  • Business name

  • Contact details

  • GSTIN (Goods and Services Tax Identification Number)

  • PAN (Permanent Account Number)

  • Bank account details for payouts

1.2 Responsibility for Updates
Vendors must regularly update their information to ensure accuracy, especially if there are changes in ownership, banking details, or tax information.

1.3 Vendor Approval
The Company reserves the full right to approve or reject any vendor application without the need to give a reason.
👉 Only selected vendors will receive access to the vendor dashboard and selling privileges.


🔹 2. Vendor Eligibility

2.1 Legal Entity Requirement
You must be a legally registered business entity with all necessary licenses and government approvals.

2.2 Compliance with Law
You agree to conduct business on the Platform in full compliance with:

  • Indian laws (or your local laws if selling internationally)

  • E-commerce policies

  • Tax and trade regulations


🔹 3. Product and Service Listing Guidelines

3.1 Legal and Genuine Products
Products and services listed must be:

  • Genuine, original, and non-counterfeit

  • Not prohibited or restricted by law

  • Accurately described (title, description, price, image, etc.)

3.2 Company Review Rights
The Company has the authority to:

  • Approve or disapprove listings

  • Remove listings that are misleading, false, illegal, or offensive


🔹 4. Pricing, Payment, and Commission Structure

4.1 Vendor-Controlled Pricing
Vendors are free to set their own prices for products, subject to fair pricing guidelines.

4.2 Payment Processing
Payments for successful sales will be processed by the Company and transferred to the vendor after deducting applicable fees, such as:

  • Commission charges

  • Transaction processing fees

  • Government taxes (TDS, GST)

4.3 Commission Policy
The Company will charge a commission ranging from 5% to 15%, depending on the category and product type.

🔹 5. Return, Replacement, and Refund Policy

5.1 Returns & Replacements (3–4 Working Days)

  • Vendors must handle return or replacement requests within 3 to 4 working days.

  • Items must be returned in their original, undamaged condition.

5.2 Refund Processing

  • Refunds must be issued within 3 to 4 working days after receiving the returned product.

  • Refunds should be made via the original payment method (if applicable).

5.3 Dispute Resolution

  • Vendors may reject illegitimate return requests.

  • Final decisions on disputes will be made by the Company.


🔹 6. Platform Usage Guidelines

6.1 Ethical Conduct
Vendors must not:

  • Sell illegal, counterfeit, or restricted products

  • Misrepresent their offerings

  • Use the Platform for fraud or abuse

6.2 Compliance Obligations
All business activities must follow company policy, government law, and digital commerce regulations.


🔹 7. Data Confidentiality Agreement

7.1 Confidential Information Protection
Vendors must protect all data they access, including:

  • Customer contact details

  • Sales performance data

  • Platform operations and pricing

Misuse of confidential data will result in termination and possible legal action.


🔹 8. Account Termination

8.1 Company-Initiated Termination
The Company may suspend or terminate a vendor’s account for:

  • Breach of these Terms

  • Fraudulent activity

  • Misuse of the platform

8.2 Vendor-Initiated Termination
Vendors may request to terminate their account by giving the Company prior written notice as per platform policy.


🔹 9. Limitation of Liability

9.1 Indirect Damages Disclaimer
The Company shall not be liable for any indirect, incidental, or special damages.

9.2 Maximum Liability Cap
In any case, the Company’s total liability is capped at the total commissions paid by the vendor over the previous six (6) months.


🔹 10. Vendor Indemnity Clause

10.1 Legal Protection of the Platform
Vendors shall defend and indemnify the Company against any:

  • Third-party legal claims

  • Government penalties

  • Damages arising from a vendor’s non-compliance or misconduct


🔹 11. Governing Law and Jurisdiction

11.1 Legal Framework
This agreement is governed by the laws of [Insert Jurisdiction].

11.2 Dispute Resolution
Any disputes will be resolved exclusively in the courts of [Insert City/Location].
